Consulting services
Apex4 provides AI automation, workflow analysis, training, implementation support, and related consulting services for businesses. Specific services, fees, timelines, deliverables, responsibilities, and payment terms will be described in a separate proposal, statement of work, order form, or written agreement.
If a separate written agreement applies to a project and conflicts with these Terms, the separate written agreement controls for that project.
Client responsibilities
Clients are responsible for providing accurate information, timely feedback, appropriate access, internal approvals, and knowledgeable stakeholders. Clients are also responsible for reviewing recommendations, validating outputs, making business decisions, and complying with laws and internal policies that apply to their organization.
You should not provide credentials, regulated data, sensitive customer data, employee data, or confidential third-party information unless we have agreed on the appropriate handling and access controls for that information.
AI outputs and human review
AI systems can produce inaccurate, incomplete, biased, or unexpected results. Apex4 designs workflows with practical safeguards, but AI-assisted outputs should be reviewed by qualified humans before being used for important business, legal, financial, employment, safety, or customer-facing decisions.
Apex4 does not guarantee that any automation, AI model, workflow, recommendation, or implementation will be error-free, uninterrupted, or suitable for every use case.
No regulated professional advice
Unless expressly stated in a signed agreement, Apex4 does not provide legal, tax, accounting, medical, financial, insurance, HR compliance, cybersecurity certification, or other regulated professional advice. You should consult qualified professionals for those matters.
Fees and payment
Fees, billing schedules, deposits, reimbursable expenses, late-payment terms, cancellation terms, and taxes will be stated in the applicable proposal, invoice, statement of work, or written agreement. You agree to pay approved fees and expenses according to those terms.
Intellectual property
Apex4 retains ownership of our pre-existing materials, methods, templates, know-how, internal tools, reusable code, documentation patterns, and general skills developed outside a specific client engagement.
Unless a separate agreement says otherwise, clients may use final deliverables created and paid for under an engagement for their internal business purposes. Third-party tools, open-source software, and platform services remain subject to their own licenses and terms.
Third-party tools and services
Projects may involve third-party software, AI platforms, APIs, automation tools, hosting providers, or business systems. Apex4 is not responsible for third-party products, outages, pricing changes, data practices, terms, security incidents, or feature changes.
You are responsible for maintaining your own accounts, licenses, permissions, and compliance with third-party terms unless otherwise agreed in writing.
Confidentiality
Each party may receive non-public business information from the other. The receiving party should use reasonable care to protect confidential information and use it only for the purpose of the relationship. More specific confidentiality obligations may be included in a separate written agreement.
Disclaimers
The website and any general website content are provided "as is" and "as available." To the fullest extent permitted by law, Apex4 disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and uninterrupted operation.
Business outcomes depend on many factors outside Apex4's control, including data quality, team adoption, operational constraints, market conditions, third-party systems, and client execution. Apex4 does not promise specific revenue, cost savings, productivity gains, or return on investment unless expressly stated in a signed agreement.
Limitation of liability
To the fullest extent permitted by law, Apex4 will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, or loss of goodwill.
Unless a separate written agreement says otherwise, Apex4's total liability for any claim related to the website or services will not exceed the amount paid by the client to Apex4 for the specific services giving rise to the claim during the three months before the event giving rise to liability.
Governing law
These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law rules. Any dispute that cannot be resolved informally will be handled in the state or federal courts located in Oregon, unless a separate agreement provides another process.
Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Continued use of the website after updates means you accept the revised Terms.
